The Firm completed a high-level due diligence assessment for an international non-for-profit organization that advises countries and their governments on policy-making to address global challenges. The focus of our legal advice and assessment to our Client was Ghanaian law in respect of employment law matters. Our advice specifically provides an overview of various employment law rights in Ghana to assist our Client with the delivery of employment law advice documenting an overview of various employment law rights for multiple jurisdictions globally.
The Firm advised on the construction and financing of a Cable Car Transport System on a Build Own Transfer model between our Client and the Ministry of Transportation. In line with our advice on the transaction, we prepared the Concession Agreement in respect of a cable car transportation system, to be executed between the Government of Ghana as represented by the Ministry of Transport and our Client.
The Firm also advised on the requisite regulatory compliance and the necessary due diligence in respect of the project. The Project being a first of its kind in Ghana will improve travel time on busy roads by eliminating traffic congestion and improving riding quality and safety for road users and pedestrians.
The Firm represented by the Managing Partner provides legal support and insight as an appointed International Finance Corporation (IFC) Insolvency Consultant on the regulatory landscape of the insolvency and restructuring regime of Ghana towards the implementation of the newly passed Corporate Insolvency and Restructuring Act (CIRA), 2020 (Act 1015). This role involves an extensive review of the Insolvency Laws of Ghana, the Draft Regulations, and the Ghana Association of Restructuring and Insolvency Advisors (GARIA) Bill and the facilitation of trainings and workshops.
The Firm advises and represents an Engineering and Construction Firm at all stages of the transaction in respect of a coastline multipurpose project in Accra. The Firm reviewed the transaction documents and advised on the relevant regulatory compliance framework to give effect to the transaction. The Firm also advised on the shareholding rights and equity contribution of parties to the transaction in addition to the obligations, limitations, and liabilities of the Special Purpose Vehicle incorporated for the Project.
We represented and advised our Client, a member of the CFAO group operating in the healthcare and diagnostics industry in relation to the negotiation of consultancy and direct billing agreements to provide healthcare services to employees and dependents of a leading gold mining firm. As part of our deliverables, the Firm conducted a comprehensive review of the contracts and company policies and negotiated favorable terms on behalf of the Client. The Firm also advised the client on the relevant regulatory compliance with respect to the transaction.
